Your Content: You retain all rights to video, media, and metadata you upload to the Services. By uploading content, you grant dotstudioPRO a limited, non-exclusive license to host, distribute, and process your content solely as required to provide the Services.

Our Technology: dotstudioPRO owns and retains all rights to the platform, software, AI features, tools, and related intellectual property. Nothing in these Terms transfers any ownership rights to you.

Certain Services require a subscription or usage-based fees as agreed upon in your order form, subscription plan, or invoice. Payments are due as specified in your agreement. Failure to pay may result in suspension or termination of access to the Services.

The Services may integrate with third-party platforms (e.g., Roku, Tubi, Pluto TV, ad servers, payment processors). dotstudioPRO is not responsible for the availability, accuracy, or terms of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

The Services are provided “as is” and “as available” without warranty of any kind. To the fullest extent permitted by law, dotstudioPRO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, dotstudioPRO shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with your use of the Services. In no event shall our total aggregate liability exceed the amounts you paid to dotstudioPRO for the Services during the six (6) months preceding the claim giving rise to liability.

You agree to indemnify, defend, and hold harmless dotstudioPRO, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.

We may suspend or terminate your access to the Services at any time if you violate these Terms or for any other reason with reasonable notice. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive (including intellectual property rights, disclaimers, limitations of liability, and indemnification) shall continue to apply.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Los Angeles County, California.

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
